Private Placement Investigations: Offering Records and Individual Responsibilities
Private offerings can involve changing documents, multiple entities and different intermediaries. Preparation should preserve those differences instead of treating every investor communication as identical.

Map each offering and document version
Identify the issuer, investment vehicle, offering period and versions of supplied materials. Preserve amendments and the dates they were distributed. Counsel evaluates exemptions, disclosures and legal obligations. A working index should describe the documents accurately without declaring that an offering was compliant or unlawful.
Connect subscriptions to source records
Organize subscription records, transfers, distributions and investor communications using appropriate access controls. Record the relevant entity and account for each transaction. Distinguish a commitment to invest from funds received, and a promised distribution from a completed payment. Note unresolved reconciliation issues for counsel and any financial expert.
Separate issuer and intermediary roles
Founders, officers, placement agents, advisers and service providers may have different responsibilities. Create a dated role map supported by agreements and actual records. Do not assume a contractual title establishes everything a person did, or that everyone saw the same information. Identify gaps and changes rather than filling them with a persuasive narrative.
Prepare the individual record in parallel
Employment history, family responsibilities and practical disruption can be documented within an agreed scope while counsel handles the offering issues. If sentencing becomes relevant, financial analysis and personal accountability require separate support. SAG can organize the factual chronology, source index and preparation schedule without providing securities-law advice or contacting investors on the client’s behalf.

Does calling an offering private resolve the legal questions?
No. Counsel must evaluate the actual offering, participants, communications and governing requirements.
