SEC On-the-Record Testimony: Preparation, Records and Counsel Coordination
An on-the-record appearance calls for accurate recollection, clear source boundaries and counsel-led preparation. SAG does not script testimony or tell a witness what to say.

Confirm the setting and assignment
Keep the notice or subpoena, confirmed appearance details and counsel’s instructions together. Identify the date, location or remote arrangements, required identification and the authorized contact for logistics. Do not assume a corporate representative is also your individual lawyer. Representation and conflicts require legal evaluation before substantive preparation.
Distinguish memory from documents
A chronology can show what you personally remember, what a contemporaneous record establishes and what remains uncertain. Record the document date and source beside each entry. Reviewing a document now does not establish that you saw it at the time. Avoid converting someone else’s account into your own recollection through repeated drafting.
Document responsibilities with dates
Job titles alone do not describe actual authority. Assemble employment dates, reporting lines, role descriptions and approved records of changing responsibilities. Identify departures, leaves, transitions and periods when access changed. Whether these facts affect testimony or legal exposure is for counsel, but a dated record can make that review more efficient.
Prepare logistics without rehearsing a story
Arrange travel, scheduling and any appropriate accommodation requests through the designated team. Keep preparation notes under counsel’s handling instructions. SAG’s defined contribution can include organizing approved personal history and factual questions for counsel. It does not include coaching evasive answers, reconciling witness accounts or conducting a substitute legal examination. If a question reaches disputed conduct, refer it to the attorney responsible for preparation.

Can SAG prepare my legal testimony?
Counsel directs testimony preparation and legal advice. SAG can support an agreed factual and administrative assignment, but does not script evidence or represent you before the SEC.
A defined preparation assignment
Work directly with Joseph to establish the scope, source records, authorized recipients and review dates. Agreed deliverables can include a personal-history chronology, an indexed supporting file, factual questions and a practical preparation schedule. Investigation-stage legal decisions require qualified federal defense counsel. An engagement with SAG does not automatically establish privilege.
SAG serves clients nationally from Freehold, New Jersey, with travel arranged for cases. Share your stage and next deadline in the initial inquiry. Do not upload investigative records, investor details or privileged advice.
